1. Ownership & Intellectual Property
All materials provided by Loomx LLC are the exclusive intellectual property of Loomx LLC and are protected under applicable intellectual property, copyright, and trade secret laws. No ownership rights or licenses are transferred unless explicitly granted in writing by Loomx LLC.

2. Limited Use & Purpose
Materials are provided solely for evaluation, review, and internal planning purposes unless otherwise authorized in writing. Materials may not be used for construction, fabrication, installation, replication, or implementation by third parties without written authorization.

3. Non-Disclosure & Non-Distribution
Recipients shall not distribute, share, publish, transmit, or disclose Loomx materials to any third party without explicit written consent. This includes contractors, vendors, designers, engineers, fabricators, consultants, or marketing entities.

4. Prohibition on Unauthorized Use & Derivative Works
Recipients may not copy, reproduce, reverse engineer, modify, adapt, or create derivative works based on Loomx materials. Any implementation or replication derived from Loomx designs without authorization constitutes misappropriation.

5. Marketing, Publicity & Attribution
Materials may not be used for advertising, marketing, social media, websites, presentations, or press releases without prior written approval. Any approved use requires Loomx’s awareness of all communications and proper attribution.

6. No Implied Authorization
No permission is implied by silence or prior communication. Authorization must be explicit, written, and issued by Loomx LLC.

7. Remedies & Enforcement
Unauthorized use may result in revocation of access, injunctive relief, monetary damages, and recovery of legal fees. Loomx LLC reserves all legal and equitable remedies.

8. Return or Destruction of Materials
Upon request or termination of discussions, recipients must return or certify destruction of all Loomx materials.

9. Governing Law This Agreement is governed by the laws of the State of New York.

10. Acknowledgment
Receipt or use of Loomx materials constitutes acceptance of these terms.
